Terms of Service

These terms govern your use of the PROXEMU platform. By using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using PROXEMU (“the Service”), operated by PROXEMU Corp. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

PROXEMU is a browser-based remote desktop and terminal management platform that enables users to connect to their servers using SSH, VNC, and RDP protocols. The Service includes:

  • A web-based SSH terminal with AI-powered diagnostics
  • VNC and RDP remote desktop viewers
  • Team collaboration and connection sharing features
  • An optional on-premise gateway deployment for Enterprise customers

3. Accounts & Registration

3.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Responsibility

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Email Verification

You must verify your email address before you can log in for the first time. We send a one-time verification code to your email. We may also send verification codes for security-sensitive operations.

4. Acceptable Use

You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include:

  • Using the Service to access, store, or transmit malware, ransomware, or other malicious software
  • Launching denial-of-service attacks or network interference through the Service
  • Using the Service to violate the security or integrity of any network, system, or server
  • Attempting to circumvent authentication, access controls, or rate limits
  • Using the Service to store or transmit content that infringes on intellectual property rights
  • Reselling, sublicensing, or redistributing access to the Service without our written consent

5. Security & Zero-Trust Architecture

PROXEMU employs a zero-trust architecture designed to protect your data:

  • SSH private keys are encrypted and stored in your browser's IndexedDB. We never have access to your raw private keys.
  • All remote connections are proxied through secure WebSocket tunnels (WSS/TLS 1.3).
  • Session data streams through our gateway but is not persistently stored by us.
  • The Service connects directly over standard SSH, VNC, and RDP ports. No agents or daemons need to be installed on your target servers.

While we take security seriously, you are ultimately responsible for securing the endpoints (servers, VMs) you connect to through the Service.

6. Billing & Subscriptions

6.1 Free Tier

PROXEMU offers a free tier with limited features (e.g., up to 3 connections). We reserve the right to modify the free tier at any time.

6.2 Paid Plans

Paid subscription plans are billed in advance on a monthly or annual basis. Payment is processed securely by Stripe. By subscribing, you authorize us to charge your payment method on the agreed schedule.

6.3 Cancellation

You may cancel your subscription at any time through the billing settings in your account. Upon cancellation, you retain access to paid features until the end of your current billing period. No prorated refunds are provided for partial billing periods.

6.4 Price Changes

We may change subscription fees with 30 days' notice. Continued use after the price change takes effect constitutes acceptance of the new fees.

7. Data Handling & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain all rights to the data stored on your target servers. We do not claim any ownership over your data.

8. Intellectual Property

The Service, including its source code, design, branding, and content, is owned by PROXEMU Corp. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.

9. Third-Party Services

The Service integrates with third-party services, including Stripe for payment processing. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions or omissions of third-party providers.

10. Limitation of Liability

To the maximum extent permitted by law, PROXEMU Corp. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claim arising under these Terms shall not exceed the amount you have paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

12. Termination

We may suspend or terminate your access to the Service at any time, without prior notice, if you violate these Terms or if your use of the Service poses a security risk or legal liability to us or other users.

Upon termination, your right to use the Service immediately ceases. Sections 8, 10, 11, and 13 of these Terms survive termination.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
